Uniform Commercial Code Research

The Uniform Commercial Code is a comprehensive code that encompasses most parts of commercial law. The UCC is a model code, which means that it does not alone have legal force; it must be adopted by a jurisdiction to have legal effect. However, most jurisdictions have adopted the UCC either in whole or in part.
Experts in commercial law draft and revise the code, and the National Conference of Commissioners on Uniform State Laws and the American Law Institute will recommend to states to adopt the Code and its revisions. The 2003 amendments to Articles 2 and 2A were not adopted by any state, and in 2011 they were withdrawn. The University of Pennsylvania maintains an electronic archive of drafts and meetings on the evolution of the UCC (and other uniform laws).
This research guide provides information on finding key sources related to the UCC. The guide will show researchers how to locate primary and secondary sources both online and in print.

One of the most commonly used resources for beginning research under the UCC. Uniform Laws Annotated (ULA) provides not only the text of the UCC and its commentary, but also annotations after each section for primary law (cases) and secondary sources that are relevant to each section. Volumes 1-5 of the set are associated with the UCC. Also included are the state variations of the UCC as they were adopted in a jurisdiction.

This series, published by the American Bar Association, offers stand-alone volumes each devoted to introducing a different article of the UCC. The volumes are published separately and new editions are frequently released. Because each volume of this series has a different call number, search the Law Library catalog by the phrase "ABCs of the UCC”.
